Trelix Terms of Service

These Terms govern use of Trelix (www.trelix.us), a file-transfer service operated by CommVergent Automation LLC (“CommVergent,” “we,” “us”). By creating or using a Trelix firm account, the subscribing organization (the “Firm”) and its authorized users agree to these Terms.

1. The service

Trelix lets Firms exchange files with their clients through private, expiring transfer links. Trelix is a temporary conduit, not a storage or archival service. Files are automatically and permanently deleted when a transfer expires, on the schedule configured for the Firm. It is the Firm’s responsibility to download and retain any files it needs before expiry.

2. Accounts and access

  • Firm accounts are created by invitation. The Firm designates administrators, who manage the Firm’s users and settings.
  • Access is by email-verified sign-in links. Users are responsible for the security of their email accounts, which function as their credential.
  • The Firm is responsible for the actions of its users and for promptly removing users who should no longer have access.

3. Firm responsibilities

  • The Firm is responsible for the lawfulness of the files it transfers and for obtaining any consents required from its clients.
  • Trelix is a general business tool. It is not certified for regulatory regimes (e.g., HIPAA) unless expressly agreed in writing; Firms in regulated fields are responsible for their own compliance determinations.
  • The Firm will not use Trelix to transfer unlawful material, malware, or content that infringes the rights of others, and will not attempt to probe, disrupt, or circumvent the service’s security or its per-firm isolation.

4. Files and deletion

  • Every transfer expires. Expiration timing follows the Firm’s configuration; any firm user may also expire a transfer immediately.
  • Expired transfers are permanently deleted and cannot be recovered by the Firm, its clients, or CommVergent. This is a core feature of the service, not a limitation of it.
  • CommVergent does not access the contents of Firm transfers. Operational access to a Firm’s workspace occurs only if the Firm explicitly adds CommVergent personnel as firm users.

5. Fees, billing, and refunds

  • Trelix is offered on monthly or annual subscription plans, with pricing and plan allowances published at www.trelix.us/pricing. Plan allowances (such as users and monthly transfer volume) are applied as fair-use limits; we will contact Firms about sustained excess usage before taking any action.
  • Payment is processed by Stripe. Subscriptions renew automatically until cancelled.
  • Cancellation: a Firm may cancel at any time from its account or by written notice. Cancellation takes effect at the end of the current billing period; the service remains available until then.
  • Refunds: except where required by law, fees are non-refundable, and no prorated refunds are given for partial billing periods. If a billing error occurs, contact support@email.trelix.us and we will correct it promptly.
  • Non-payment: if a subscription becomes past due, we will notify the Firm and allow a reasonable grace period before suspending access. Suspension does not delete data ahead of normal transfer expiry; files continue to expire on schedule.
  • Prices may change with at least 30 days’ notice, effective at the next renewal.

6. Intellectual property

The Firm retains all rights to the files and content it transfers. CommVergent retains all rights to the Trelix service, software, and branding. Each party grants the other only the licenses necessary to operate or use the service as described here.

7. Confidentiality

Non-public information each party learns about the other through the service relationship will be used only for that relationship and protected with reasonable care. This obligation does not override Section 4’s deletion mechanics: file contents are not retained by CommVergent at all.

8. Service changes and availability

We work to keep Trelix continuously available but do not guarantee uninterrupted service. We may improve or modify features; we will not remove the core deletion-on-expiry behavior or materially reduce a paid plan’s capabilities mid-term without notice.

9. Disclaimers

The service is provided “as is.” To the maximum extent permitted by law, CommVergent disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In particular, because deletion is the product’s purpose, CommVergent is not responsible for the unavailability of files after a transfer has expired.

10. Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, or consequential damages; and CommVergent’s total liability arising from the service is capped at the fees the Firm paid in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Termination

The Firm may stop using the service at any time (Section 5 governs billing). We may suspend or terminate accounts for material breach of these Terms, with notice and an opportunity to cure where practicable. Sections 4–7 and 9–13 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Travis County, Texas, and the parties consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms by posting a revised version with a new effective date and notifying Firms by email of material changes. Continued use after the effective date constitutes acceptance; if a Firm objects to a material change, it may cancel per Section 5 before the change takes effect.
